Membership Agreements
Classward, LLC | Effective Date: May 21st, 2026
This Membership Agreement (the "Membership Agreement") governs your purchase and use of any paid membership, subscription, course, course bundle, or other paid product or service (collectively, "Memberships") offered by Classward, LLC ("Classward," "we," "us," or "our") through any Classward brand or property, including but not limited to EMTprep, EMT-CE, PharmRenew, PharmTechReview, PhlebCE, PhlebReview, CPRreview, MArenew, CMAreview, and EKGce (each a "Service").
This Membership Agreement is entered into in addition to, and supplements rather than replaces, the Classward Terms and Conditions Agreement (the "Terms and Conditions"), the Privacy Policy, and the Refund and Cancellation Policy, each of which is incorporated into this Membership Agreement by reference. To the extent of any conflict between this Membership Agreement and the Terms and Conditions, the Terms and Conditions shall control on all matters except those expressly addressed in this Membership Agreement, in which case this Membership Agreement shall control.
By purchasing any Membership, you expressly acknowledge that you have read, understood, and agree to be bound by this Membership Agreement, the Terms and Conditions, the Privacy Policy, and the Refund and Cancellation Policy. You further acknowledge that the Terms and Conditions contain a Mandatory Binding Arbitration and Class Action Waiver provision (Section 22 of the Terms and Conditions) that materially affects your legal rights, and that you have a 30-day right to opt out of arbitration as set forth therein.
1. Membership Types
Classward offers two principal categories of paid Memberships:
1.1 Auto-Renewing (Recurring Subscription) Memberships
Auto-Renewing Memberships are sold as recurring subscriptions that automatically renew at the end of each billing period until canceled by the Member. EMTprep monthly and quarterly memberships are Auto-Renewing Memberships. Other Services may also offer Auto-Renewing Memberships from time to time. Auto-renewal terms are set forth in Section 3 of this Membership Agreement and are subject to the disclosures shown to you on the checkout page at the time of purchase.
1.2 One-Time Purchase Memberships
One-Time Purchase Memberships are sold as a single, non-recurring purchase that grants access to the purchased Service for a defined period or until completion of the purchased course(s) or course bundle(s), as specified at the time of purchase. EMT-CE recertification packages, individual continuing education courses, refresher courses, and similar offerings on PharmRenew, PharmTechReview, PhlebCE, PhlebReview, CPRreview, MArenew, CMAreview, and EKGce are typically One-Time Purchase Memberships. One-Time Purchase Memberships do not automatically renew; if you wish to renew or extend access, you must initiate a new purchase.
2. Membership Services
2.1 Test Preparation
EMTprep, PhlebReview, CMAreview, and PharmTechReview test-preparation Memberships provide access to study tools, practice questions, mock examinations, content reviews, and AI-powered study features designed to assist Members in preparing for the National Registry of Emergency Medical Technicians ("NREMT") cognitive examination, Certified Phlebotomy Technician Exam (CPT), Phlebotomy Technician Certification Exam (PTC), Phlebotomy Technician Exam (PBT), National Certified Phlebotomy Technician Exam (NCPT), Registered Phlebotomy Technician Exam (RPT), Pharmacy Technician Certification Exam (PTCE), Exam for the Certification of Pharmacy Technicians (ExCPT), Certified Medical Assistant Exam (CMA), Registered Medical Assistant Exam (RMA), Certified Clinical Medical Assistant Exam (CCMA), Nationally Certified Medical Assistant Exam (NCMA) and similar credentialing examinations. Test-preparation Services are designed solely for personal study use in connection with examination preparation and are not training programs leading to certification. Test-preparation Services do not provide instruction in life-saving techniques, emergency response, clinical procedures, or any form of medical training.
2.2 Continuing Education and Refresher Courses
EMT-CE, PhlebCE, EKGce, PharmRenew, CPRreview and similar continuing education Memberships provide access to continuing education ("CE") courses and refresher courses accredited by the Commission on Accreditation for Pre-Hospital Continuing Education ("CAPCE"; capce.org), California Department of Public Health (“CDPH”), Accreditation Council for Pharmacy Education (“APCE”), Professional Acknowledgment for Continuing Education (P.A.C.E.®) or other applicable accrediting bodies. CE Services are designed to enable Members to satisfy continuing education requirements for licensure or certification renewal. CE Services are not intended to provide procedures or requirements for life-saving techniques, emergency response, or any form of medical training. You agree that you will use CE Services only for continuing education credit. Local protocols, medical direction, employer policies, and applicable scope-of-practice rules govern actual procedures and patient care.
It is your sole responsibility to confirm your specific continuing education, recertification, or licensure requirements, including which courses, accreditations, and credit hours will be accepted by your governing body, employer, or accrediting organization. Classward makes no representation or warranty that any CE Service will be accepted by any specific entity for any particular purpose. You should verify compatibility with applicable requirements before purchasing or completing any CE course.
2.3 Official Record Reporting
For CAPCE-accredited, APCE-accredited and CDPH-accredited courses, Classward reports completion data to CAPCE, NABP CPE Monitor and the CDPH in accordance with the respective entities’ reporting requirements. Reported data may include the Member's name, license identification number (if provided), date of birth (if provided), course identifiers, and completion dates. Once a course completion has been reported to CAPCE, NABP CPE Monitor or the CDPH, the credit cannot be revoked, reversed, or undone by Classward, except in the event of (a) confirmed identity fraud, (b) breach of this Membership Agreement or the Terms and Conditions, including without limitation an Improper Chargeback (as defined in Section 21 of the Terms and Conditions), or (c) a directive from CAPCE, NABP or CDPH. You acknowledge that this irrevocability is a fundamental characteristic of accredited continuing education and that completion of CAPCE-reported, NABP CPE Monitor-reported or CDPH-reported coursework constitutes delivery of the corresponding Service.
2.4 Mobile Application Access
Active Memberships include access to applicable Classward mobile applications. Mobile application access is governed by Section 5 of the Terms and Conditions, including the in-app purchase and App Store / Google Play provisions thereof. You are responsible for maintaining the confidentiality of your login credentials, and you remain solely responsible for all activity that occurs under your account on any device.
2.5 AI Features
Active Memberships may include access to AI Features (as defined in the Terms and Conditions) when and as offered by Classward. AI Features are subject to Section 4 of the Terms and Conditions, which you should review carefully. AI Features are not a substitute for accredited training, professional medical education, clinical judgment, or the advice of a qualified instructor or healthcare professional. You agree not to rely solely on AI Features for examination preparation or for any clinical decision.
2.6 Free Tier
Certain Services may offer a free tier or freemium version that does not require payment information and does not automatically convert to a paid Membership. Use of any free tier remains subject to the Terms and Conditions, the Privacy Policy, and any service-specific terms displayed at the time of access.
3. Auto-Renewal Disclosures and Authorization
THE FOLLOWING DISCLOSURES APPLY TO ALL AUTO-RENEWING MEMBERSHIPS. BY PURCHASING AN AUTO-RENEWING MEMBERSHIP, YOU AFFIRMATIVELY CONSENT TO THE AUTO-RENEWAL TERMS SET FORTH IN THIS SECTION 3 AND AGREE TO BE BOUND BY THEM. THESE TERMS ARE INTENDED TO SATISFY THE DISCLOSURE AND CONSENT REQUIREMENTS OF CALIFORNIA BUSINESS AND PROFESSIONS CODE §§ 17600 ET SEQ. (THE "AUTOMATIC RENEWAL LAW" OR "ARL") AND SIMILAR LAWS OF OTHER STATES.
3.1 Auto-Renewal in Plain Language
Your subscription will automatically renew at the end of each billing period and you will be charged the then-current renewal price (which is shown to you at the time of purchase and in the renewal-reminder emails you will receive), until you cancel. For example, if you purchase a $39 monthly EMTprep Membership on January 1, your payment method will be charged $39 on or around February 1, March 1, April 1, and so on, every month, until you cancel. The renewal price may change on advance notice as set forth in Section 3.4.
3.2 How to Cancel
You can cancel your Auto-Renewing Membership at any time, with no penalty, by clicking the "Manage Subscription" link on your account dashboard. This link opens Stripe's secure customer portal, where you can disable auto-renewal with a single action, twenty-four (24) hours a day, seven (7) days a week, with no human gatekeeping or hold time. You may also cancel by contacting customer support at support@classward.com. Cancellation takes effect at the end of your then-current billing period; you will retain access to the Service through that date and will not be charged again. The Refund and Cancellation Policy explains in detail what happens after cancellation.
3.3 Acknowledgments at Checkout
At the time of purchase, the checkout page conspicuously discloses: (a) the renewal price; (b) the renewal interval (e.g., monthly, quarterly); (c) the next renewal date; and (d) the means of cancellation. By clicking the purchase button, you affirmatively consent to those terms.
3.4 Pricing Changes
Classward reserves the right to change the renewal price of any Auto-Renewing Membership. If the renewal price changes for an existing Member, Classward will provide you with at least thirty (30) days' advance notice by email to the email address associated with your account. The new price will take effect on the next renewal date occurring on or after the notice period. If you do not agree to the new price, you must cancel your Membership before the new price takes effect; your continued maintenance of the Membership constitutes acceptance of the new price.
3.5 Renewal Reminders
For Auto-Renewing Memberships with a billing interval of six (6) months or longer, Classward will send a renewal reminder email to the email address associated with your account between fifteen (15) and forty-five (45) days before the renewal date. The reminder will state the renewal price, the renewal date, and instructions for canceling. For monthly and quarterly Auto-Renewing Memberships, Classward will send a payment receipt promptly after each renewal charge that includes information about the next renewal date and instructions for canceling.
3.6 Express Authorization
By purchasing an Auto-Renewing Membership, you expressly authorize Classward and its third-party payment processor (Stripe) to charge the payment method on file at the recurring price and recurring interval disclosed at checkout, on each renewal date, until you cancel. This authorization continues until you cancel through the means described in Section 3.2 or until your account is otherwise terminated.
3.7 In-App Purchase Auto-Renewals
Auto-Renewing Memberships purchased through the Apple App Store or Google Play Store are managed through your Apple ID or Google account, respectively. Auto-renewal disclosures, billing, cancellation, and refund processes for In-App Purchase subscriptions are governed by Apple's or Google's terms and policies, as described in Section 5 of the Terms and Conditions. You are responsible for managing the auto-renewal of any In-App Purchase subscription through your Apple ID or Google account settings.
4. Member Eligibility and Information
4.1 Eligibility
Eligibility to maintain a paid Membership is governed by Section 1 of the Terms and Conditions. Memberships are intended for individual use by the named Member only. You may not share your account, your login credentials, or any Site Materials with any other person. Each individual user must maintain his or her own account and Membership.
4.2 Required Information
When purchasing a Membership, you agree to provide accurate, current, and complete information about yourself, including without limitation your full legal name, email address, telephone number, mailing address, and applicable professional credentials (such as NREMT identification number, where required for official record reporting). You agree to promptly update this information if it changes. Provision of false, misleading, or incomplete information is a material breach of this Membership Agreement and may result in immediate termination of your account, invalidation of any course completion records, and reporting to applicable accrediting bodies.
4.3 Identity for Official Record Reporting
For CAPCE-accredited, APCE-accredited and CDPH-accredited Services, you are responsible for providing accurate identifying information that matches your records on file with CAPCE, the NABP, the CDPH, or other applicable licensing agencies, such as the National Registry (NREMT). Course completions reported to CAPCE, the CDPH or the NABP under inaccurate information may not be credited to you, and Classward shall not be liable for any failure to receive credit due to inaccurate information you have provided.
5. Payment Terms
5.1 Authorized Payment Methods
Classward accepts payment through the methods made available on the applicable Service at the time of purchase. Web-based purchases are processed by Stripe, Inc. and are subject to Stripe's terms and privacy policy. Mobile in-app purchases are processed by Apple or Google, as applicable, and are subject to those entities' billing terms.
5.2 Payment Authorization
By providing a payment method, you represent and warrant that: (a) you are authorized to use the payment method; (b) you are the cardholder, or you have obtained the express, knowing, and continuing authorization of the cardholder to use that payment method to purchase the Membership and to authorize all recurring charges contemplated by your selected Membership (where applicable); and (c) the information you provide is true, accurate, and complete. If you submit a payment method belonging to another person (for example, a parent, spouse, or employer), you remain solely responsible for any unauthorized use claim, chargeback, or dispute brought by the cardholder, and you agree to indemnify Classward against all such claims pursuant to Section 15 of the Terms and Conditions.
5.3 Taxes
Classward reserves the right to collect any applicable sales, use, value-added, goods-and-services, or similar taxes that may be imposed on the sale of the Memberships. Where Classward does not collect such taxes, you remain responsible for self-reporting and paying any taxes that may be due.
5.4 Failed Payments
If a recurring payment fails (for example, due to expiration of the payment method, insufficient funds, or a card decline), Classward and its payment processor may attempt to retry the payment one or more times in accordance with industry-standard retry logic. If payment cannot be successfully processed, Classward may suspend or terminate your access to the Membership until payment is resolved. You remain responsible for the unpaid amounts associated with any period during which you retained access to the Service prior to suspension.
5.5 Currency
All prices are stated in United States dollars unless otherwise indicated. You are responsible for any currency conversion fees imposed by your card issuer or bank.
6. Cancellation and Refunds
Cancellation procedures, refund eligibility, and the consequences of cancellation are governed by the Refund and Cancellation Policy, which is incorporated into this Membership Agreement by reference. Key points are summarized below for convenience; in the event of any conflict, the Refund and Cancellation Policy controls.
- Self-Service Cancellation. Auto-Renewing Memberships can be canceled at any time through the self-service customer portal accessible from your account dashboard, with no human gatekeeping and immediate effect on auto-renewal.
- Continued Access. Cancellation of an Auto-Renewing Membership does not result in immediate loss of access; you retain access through the end of the then-current billing period for which you have paid.
- One-Time Purchases. One-Time Purchase Memberships are non-cancelable in the sense that they do not auto-renew, but they may be eligible for a refund as set forth in the Refund and Cancellation Policy.
- Refund Eligibility. Eligibility for a refund depends on the type of Membership, the time elapsed since purchase, the level of usage of the Service, and (for CE products) whether any CAPCE submission has occurred. Specific eligibility criteria, including a 7-day full-refund window for minimal usage and a pro-rated 30-day refund window in certain circumstances, are detailed in the Refund and Cancellation Policy.
- No Refund for Official Record Reported Coursework. Once a course completion has been reported to CAPCE, NABP CPE Monitor, or the CDPH, the corresponding Service is deemed delivered and no refund will be issued for that completed course.
7. Member Representations and Warranties
By purchasing or maintaining a Membership, you represent and warrant on a continuing basis that:
- You meet the eligibility requirements set forth in Section 1 of the Terms and Conditions.
- All information you have provided to Classward is true, accurate, current, and complete.
- You are the cardholder of any payment method submitted in connection with your account, or you have obtained the express, knowing, and continuing authorization of the cardholder.
- You will use the Membership solely for your own personal, non-commercial educational use, and you will not share, sell, transfer, or otherwise make available your account, login credentials, or any Site Materials to any other person.
- Your use of the Membership will comply with this Membership Agreement, the Terms and Conditions, the Privacy Policy, the Refund and Cancellation Policy, all applicable laws and regulations, and the academic integrity, examination security, and testing protocols of any applicable examination, certification, or accrediting body.
- You will not initiate any chargeback or payment dispute without first contacting Classward customer support and providing us with at least fifteen (15) days to investigate and respond, as required by Section 21 of the Terms and Conditions.
- You acknowledge the Health and Safety Disclaimer set forth in Section 9 of the Terms and Conditions, including without limitation that the Services are educational tools only, are not a substitute for accredited training or clinical judgment, and shall not be cited or relied upon for any clinical decision.
8. Chargeback and Delivery Acknowledgment
You expressly acknowledge that the following constitute conclusive evidence of authorized purchase and successful delivery of the corresponding Membership Service, and accordingly any chargeback, dispute, or claim of unauthorized use, non-receipt, or non-delivery brought after the occurrence of any such evidence is an Improper Chargeback within the meaning of Section 21 of the Terms and Conditions Agreement:
- Login activity associated with your account, particularly login activity originating from an IP address geolocated in the same metropolitan area as the billing address on the payment method;
- Completion of one or more practice tests, course modules, or study activities through the account;
- Issuance of a course completion certificate bearing your name (or the name of any person whose information you provided to Classward);
- Submission of course completion data to CAPCE, NABP CPE Monitor or the CDPH, under your name and license identification number (or that of any person whose information you provided);
- Use of AI Features through the account;
- Email correspondence between you and Classward customer support concerning your account; and
- Any cancellation activity you initiated through the customer portal at any time after the disputed charge.
In the event of any chargeback or dispute, you authorize Classward to disclose to the relevant bank, card issuer, payment processor, or card network the foregoing categories of evidence, together with timestamps, IP addresses, device information, and the version of the Terms and Conditions Agreement, Privacy Policy, and Membership Agreement you accepted at the time of purchase, all as further described in Section 21.4 of the Terms and Conditions Agreement.
9. Intellectual Property and Account Use
Your purchase of a Membership grants you the limited license set forth in Section 6.2 of the Terms and Conditions. No portion of any Site Material may be reproduced, redistributed, posted, shared, or resold in any form or by any means without Classward's prior written consent, including without limitation in any social media post, study group, file-sharing service, online forum, course, or commercial offering. Violation of this Section 9 is a material breach of this Membership Agreement and the Terms and Conditions Agreement and may result in immediate termination of your account, invalidation of completion records, and pursuit of legal remedies, including injunctive relief and damages.
10. Membership Termination
Termination of your Membership is governed by Section 16 of the Terms and Conditions Agreement. Without limiting the foregoing, Classward may immediately suspend or terminate your Membership, archive any course completion records, and notify CAPCE/NABP/CDPH of cessation of credit if you breach this Membership Agreement, the Terms and Conditions Agreement, the Privacy Policy, or the Refund and Cancellation Policy, including without limitation by initiating an Improper Chargeback. Upon termination, all rights granted under this Membership Agreement immediately cease, and the surviving provisions identified in Section 16.4 of the Terms and Conditions shall continue in effect.
